TERMS & CONDITION

The under mentioned terms and conditions apply to the Services provided by Assam Electronics Development Corporation Ltd (AEDCL) or AMTRON and shall supersede all previous terms and conditions for broadband services, if any, executed by the Customer (hereinafter defined)

1. Assam Electronics Development Corporation Ltd (AEDCL) or AMTRON means a company incorporated under the provisions of Companies Act, 1956, having its registered office at Industrial Estate, Bamunimaidan, Guwahati, Assam 781021 is a Category – A Internet Service Provider licensed by the Department of Telecommunication, Government of India to provide Internet Services across India.
2. 'Charges' shall mean all the rates, fees, charges, tariff, levies etc. in relation to Rentals, Installation Charges, Registration charges, Plan Charges, Activation Fee, Usage Charges, Deposits, Advances, Taxes etc. as consideration for providing Services.
3. 'Customer' shall mean a person (including any entity or association of persons) who has subscribed to the Services and has completed all pre-requisites.
4. 'Network' shall mean AMTRON's telecommunication network through which services are or would be made available to the Customer.
5. 'Relationship Period' shall mean the period commencing upon activation of the services and shall end upon Termination of the Services.
6. Plan Rentals shall mean the fixed monthly minimum Charges applicable to the plan subscribed to buy the Customer.
7. 'Services' shall mean services such as Internet, Wi-Fi, and / or any supplementary/additional services made available to the Customer.
8. Customer Acquisition Form (CAF) shall mean the Non-Transferable Form appended herewith, which has been filled and executed by the customer for subscribing to the AMTRON services. 9. Suspension of Service shall mean disconnection, discontinuation or suspension of the Customer from network.
10. Termination of Service shall mean termination of the AMTRON Services by the Customer.

1. SERVICES

1.1. Services will be provisioned within a maximum of 15 days, after receipt of duly completed CAF and all applicable Charges. In the event, AMTRON is unable to provide the services, it shall be liable to refund immediately any Charges collected.
1.2. AMTRON, without any liability, whatsoever, is entitled to Refuse, Limit, Suspend, Vary or Disconnect the services at anytime, for any reasonable causes, including, but not limited, to the following:
1.2.1. Any/all applicable Rules, Regulations, Orders, Directions, Notifications, License Agreement Conditions etc., issued by the Government/ Telecom Regulatory Authority of India (TRAI) etc.
1.2.2. If the customer is in default (including past defaults) in making payment for the Services.
1.2.3. During Technical Failure, Modification, Up-gradation, Variation, Relocation, Repair and/or Maintenance of the Systems/Equipment.
1.2.4. If service are used in violation of any law, rule or regulation.
1.2.5 Any other reason, which is found to be reasonable by AMTRON warranting limitation, suspension, or disconnection of Services.

2. BILLING, PAYMENT AND SECURITY DEPOSIT

2.1. Customers are liable to pay the Charges in advance for the Services along with applicable taxes. It will be the Customer's responsibility to enquire the current outstanding. In case of non-receipt of bill, the Customer shall contact AMTRON and pay the amount due by the due-date. AMTRON shall not be responsible for any delay or loss in transit of bill.
2.2. No payments are to be made in cash except to authorize company official with valid ID proof of the Company and against issuance of AMTRON Cash receipt. Customer can also make online payments or any other mode approved by AMTRON.
2.3 AMTRON in accordance with TRAI Guidelines/Rules/Regulations is entitled to charge, vary, add, withdraw any services and/or to vary Tariff on these services and/or make any service chargeable which is not initially or at any stage liable to be charged.
2.4 In an event of Delay or Non-Payment of Charges , AMTRON reserves the right to totally or partially Suspend the Services of such Customer. The Customer shall continue to be liable for the monthly Plan Rentals until Termination of Service.

3. CUSTOMER'S OBLIGATIONS

3.1. The Customer must notify AMTRON in writing for termination of services and return the CPE to AMTRON at any of its registered branch offices in reasonable and proper working condition.
3.2. Customer shall not use the Services for any unlawful immoral or abusive purpose in violation or derogation of any Law/Rule or Regulation or Statutory Directive or order for the time being in force or against any public policy or for sending/receiving Obscene Threatening, Harassing messages/communications or sending messages or communications that affect national interest, or create any damage or risk to AMTRON or its Network/Equipment/Call Centre and/or other Customer(s). Any violation or misuse by customer shall under no circumstances be attributed to AMTRON and the customer shall be solely responsible for all such acts.
3.3. The Services shall not be shared, sublet or assigned by the Customer to any third party.
3.4. Customer shall not use the Internet Services for reproduction or distribution, production, copying, downloading or exploration of third-party content.

4. USAGE of Wi-Fi

Usage of Wi-Fi by a 'Customer' is strictly required to be in compliance with the Department of Telecommunication Policy on the same (www.dot.gov.in). The 'Customer' is required to intimate AMTRON in advance in case they are installing a Wi-Fi Router or Access Point on the connection provided by AMTRON. Speed indicated in the plans can be best experienced on LAN Connectivity. Speed variations may arise due to Wi-Fi Router or RF limitations or any other connectivity equipment being used by the customer. AMTRON shall not be responsible in such cases.

5. REFUND POLICY

AMTRON does not entertain refund of any amounts that may have been paid by the 'Customer' for an Annual / Semi Annual / Quarterly / Monthly or any other similar package offered by AMTRON from time to time. Only in case of non-feasibility of a new connection, refund is made by AMTRON. The time for a refund to be affected is 4-6 weeks, beyond the allowable time of 15 working days as mentioned above.

6. CONFIDENTIALITY

Privacy of communication is subject to the terms of the license agreement of AMTRON with DoT and other statutory and regulatory notifications/directives etc.

7. OWNERSHIP

7.1. The Customer shall have no title and/or ownership and/or interest in the CPE and therefore shall not be entitled to Transfer/Assign/Lease and/or otherwise part with the same under any circumstances.
7.2. All CPE, provided (but not sold) by AMTRON shall always remain absolute property of AMTRON.
7.3. Further, acceptance of Bill Payments by AMTRON from person other than the customer does not mean acceptance of Transfer/Assignment/Lease of any rights or obligations of the customer to such person making the payment.

8. TERMINATION OF AGREEMENT

8.1. If the 'Customer' is dissatisfied with the services provided by AMTRON then the sole and exclusive remedy available to the 'Customer' is to stop using the services and to terminate the AMTRON account, under intimation to AMTRON in writing. This does not absolve the 'Customer' of any dues which remain and the same remains payable.
8.2. AMTRON also reserves the right to withdraw/suspend/terminate/disconnect the services to the 'Customer' partially or fully in case of any of a number of reasons, including but not exclusive to negative address verification, non-payment, violation of any terms of this agreement, usage of the service for any illegal or immoral activity and Customer's equipment or software is interfering with AMTRON's other services if so found by AMTRON.
8.3. AMTRON reserves the right to modify/alter/change/withdraw the tariff plans without any notice

9. REINSTATEMENT OF SERVICES

Reinstatement of services will require full payment of outstanding balance and other charges plus installation fees. It shall be AMTRON's sole discretion to allow such reinstatement of the services fully or partially.

10. ASSIGNMENT

AMTRON reserves the right to assign this contract to anybody at any time. The same shall be binding on the Customer. This contract and the services shall be non-transferrable by Customer at any time.

11. DISCLAIMER OF LIABILITY

11.1. AMTRON makes no express or implied Warranty/Guarantee, representation or undertaking whatsoever regarding the Services, which are not expressly mentioned herein.
11.2. AMTRON shall not be responsible for any acts or omissions of any third-party including franchisees/dealers/distributors/ retailers etc., with regard to scheme(s) which are not expressly authorized by AMTRON.
11.3. AMTRON shall not be liable to the customer if any Delays, Loss of Business, Profit, Revenue or Goodwill, Anticipated Savings, Use of Contracts, Damages, Fees Costs, Expenses, Orders, Judgments, etc. or for any indirect or consequential loss, howsoever it arises for or account of unavailability/usage of Services or otherwise.
11.4. The Terms and conditions herein shall be subject to the notifications/guidelines issued by TRAI and DoT, from Time to time.
